1. Acceptance of Terms

By creating an account, accessing, or using SpendMind ("Service", "App", "we", "us", or "our"), you agree to be bound by these Terms and Conditions and our Privacy Policy. If you disagree with any part of these terms, you do not have permission to access the Service.

These Terms apply to all users of the Service, including but not limited to visitors, registered users, and premium subscribers.

2. Description of Service

SpendMind is a personal finance and budget management application that provides:

• Budget creation, tracking, and management tools
• Income and expense tracking
• Financial goal setting and monitoring
• Budget collaboration and sharing features
• Financial analytics, insights, and reports
• Data export capabilities (PDF, Excel)
• Gamification features (badges, challenges, streaks)
• Push notifications and alerts
• Help center and customer support
• Premium subscription features via in-app purchases

3. Eligibility and Account Registration

3.1 Age Requirements

You must be at least 13 years old (or 16 in the European Economic Area) to use this Service. If you are under 18, you must have your parent or legal guardian's permission to use the Service. By using the Service, you represent and warrant that you meet these age requirements.

3.2 Account Creation

To use certain features of the Service, you must create an account by providing:

• A valid email address
• Your name
• A secure password
• Optionally, a profile picture

3.3 Account Security

You are responsible for:

When using SpendMind, you agree to:

• Use the Service only for lawful purposes
• Respect the rights and privacy of other users
• Not misuse or abuse the Service or its features
• Comply with all applicable laws and regulations

4.2 Prohibited Activities

You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Infringe upon the intellectual property rights of others
• Upload or transmit viruses, malware, or harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse engineer, decompile, or disassemble the app
• Use automated systems (bots, scrapers) to access the Service
• Harass, abuse, or harm other users
• Impersonate any person or entity
• Sell, transfer, or sublicense your account to others
• Use the Service to distribute spam or unsolicited messages
• Interfere with or disrupt the Service or servers

5. Budget Collaboration and Sharing

5.1 Collaborative Budgets

When you share a budget with other users ("Collaborators"), you grant them access to view and/or edit that specific budget based on the permission level you assign. You are responsible for:

• Deciding who to invite as collaborators
• Setting appropriate permission levels (view or edit)
• Understanding that collaborators can see all data within shared budgets
• Managing and removing collaborators as needed

5.2 Collaborator Conduct

As a collaborator on someone else's budget, you agree to:

• Respect the budget owner's preferences and rules
• Not misuse or delete budget data maliciously
• Use collaboration features responsibly and ethically

5.3 Data Ownership in Shared Budgets

The original budget creator maintains ownership of the budget. When you leave or are removed from a shared budget, you will no longer have access to that budget's data.

6. Subscriptions and Payments

6.1 Free and Premium Features

SpendMind offers both free and premium features. Premium features require an active subscription purchased through the Apple App Store or Google Play Store.

6.2 Subscription Terms

• Billing: Subscriptions are billed on a recurring basis (monthly or yearly)
• Auto-Renewal: Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period
• Price Changes: We reserve the right to change subscription prices with 30 days' notice
• Payment Processing: All payments are processed through the App Store or Play Store

6.3 Cancellation and Refunds

• You can cancel your subscription at any time through your App Store or Play Store account settings
• Cancellations take effect at the end of the current billing period
• Refunds are subject to Apple's and Google's refund policies
• We do not provide refunds for partial subscription periods

6.4 Free Trials

If we offer a free trial period, you must cancel before the trial ends to avoid being charged. Trial eligibility is determined by the App Store or Play Store and may be limited to one per user.

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Service, including its original content, features, functionality, design, code, graphics, logos, and trademarks, is owned by SpendMind and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes in accordance with these Terms.

7.3 Your Content

You retain all rights to the data you enter into the app (budgets, transactions, etc.). By using the Service, you grant us a license to use, store, and process your data solely for the purpose of providing and improving the Service as described in our Privacy Policy.

7.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use and implement such feedback without any obligation to you.

8. Data and Privacy

8.1 Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

8.2 Data Accuracy

You are responsible for the accuracy of the financial data you enter into the app. We do not verify the accuracy of your budget information and are not liable for any errors or inaccuracies in your data.

8.3 Data Backup

While we maintain regular backups of our systems, we recommend that you periodically export and save copies of your important budget data using our export features.

9. Disclaimers and Limitations

9.1 No Financial Advice

SpendMind is a budget tracking tool, NOT a financial advisor. The Service provides tools for tracking and managing your personal finances, but:

• We do NOT provide financial, investment, tax, or legal advice
• The insights and analytics are for informational purposes only
• You should consult qualified professionals for financial advice
• We are not responsible for any financial decisions you make

9.2 Service "As Is"

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or completeness of information
• Uninterrupted or error-free operation

9.3 No Guarantee of Accuracy

We strive to provide accurate calculations and analytics, but we do not guarantee:

• The accuracy of financial calculations or projections
• The correctness of budget analytics or insights
• That the Service will meet your specific requirements
• That the Service will be available at all times

9.4 Third-Party Services

The Service integrates with third-party services (Apple App Store, Google Play Store, RevenueCat, Expo). We are not responsible for the availability, accuracy, or reliability of these third-party services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SpendMind and its officers, directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Loss of savings or financial losses resulting from use of the Service
• Business interruption or loss of goodwill
• Any damages arising from unauthorized access to your account
• Any damages resulting from errors, omissions, or inaccuracies in the Service

In jurisdictions where limitation of liability is not allowed, our liability is limited to the maximum extent permitted by law. In no event shall our total liability exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless SpendMind and its affiliates, officers, directors, employees, agents, and licensors from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another user or third party
• Your violation of any applicable laws or regulations
• Any content or data you submit through the Service

12. Service Availability and Modifications

12.1 Service Availability

We strive to maintain high availability, but we do not guarantee that the Service will be available 100% of the time. The Service may be unavailable due to:

• Scheduled maintenance
• Emergency repairs
• Technical difficulties
• Internet connectivity issues
• Force majeure events

12.2 Modifications to Service

We reserve the right to:

• Modify, suspend, or discontinue any part of the Service at any time
• Add, remove, or change features and functionality
• Update the app with new versions
• Change the availability of features on different subscription tiers

13. Termination

You may terminate your account at any time by:

• Deleting your account through the app settings

13.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent or illegal activity
• Abuse of the Service
• Non-payment of subscription fees
• Request by law enforcement

13.3 Effect of Termination

Upon termination:

• Your right to use the Service will cease immediately
• Your account data will be deleted as described in our Privacy Policy
• You will lose access to shared budgets where you were a collaborator
• Subscription fees are non-refundable upon termination
• Provisions of these Terms that should survive termination will remain in effect

14. Dispute Resolution

14.1 Informal Resolution

If you have a dispute with us, please contact us first at spendmind05@gmail.com to attempt to resolve the issue informally. We will make good faith efforts to resolve disputes amicably.

14.2 Binding Arbitration

If informal resolution fails, you agree that any disputes arising from these Terms or the Service will be resolved through binding arbitration rather than in court, except where prohibited by law.

14.3 Class Action Waiver

You agree to resolve disputes on an individual basis. You waive your right to participate in class actions, class arbitrations, or representative actions, except where such waivers are prohibited by law.

14.4 Exceptions

Either party may bring a lawsuit in court to:

• Seek injunctive relief
• Protect intellectual property rights
• Resolve disputes in small claims court

15. Governing Law and Jurisdiction

• Apple has no obligation to provide maintenance or support
• Apple is not responsible for the app or its content
• Apple is not liable for any claims related to the app
• You must comply with Apple's App Store Terms of Service

17.2 Google Play Store

If you download the app from Google Play Store, you acknowledge and agree that:

• These Terms are between you and SpendMind, not Google
• Google has no obligation to provide maintenance or support
• Google is not responsible for the app or its content
• You must comply with Google's Play Store Terms of Service

18. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:

• Natural disasters
• War, terrorism, or civil unrest
• Government actions or regulations
• Internet service provider failures
• Power outages
• Pandemics or health emergencies
• Cyber attacks or hacking incidents

19. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SpendMind regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.

21. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by us.

22. Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign or transfer these Terms at our sole discretion, including in connection with a merger, acquisition, or sale of assets.

23. Updates to These Terms

We reserve the right to modify these Terms at any time. When we make changes:

• We will update the "Last Updated" date at the top of this page
• We will notify you via email or in-app notification for material changes
• Continued use of the Service after changes constitutes acceptance
• If you do not agree to the new terms, you must stop using the Service

The following sections shall survive termination of these Terms: Intellectual Property Rights, Disclaimers and Limitations, Limitation of Liability, Indemnification, Dispute Resolution, Governing Law, and any other provisions that by their nature should survive.
